1. Mergers & Acquisitions, Private Equity, and Venture Capital

National and international corporate acquisitions and mergers and Private Equity transactions are a main focus of our work at City International. • Representation of a first-of-its-kind real estate-focused, private equity firm in connection with its offering documents and acquisition agreements.
• Representation of international defense contractors, through a large US based law firm, in a review of consultant agreements for compliance with local laws and regulations
• Representation of a Qatar-based bank in its acquisition of a Libyan onshore bank based in eastern Libya.
• Representation of a Singapore-based project developer in connection with a review of all project agreements for the development of a water desalination plant in eastern Libya along with a review of establishment options
• Representation of a multinational logistics provider in connection with an investment agreement and secondment arrangements with a local Libyan partner
• Representation of a Petrochemical Company on the acquisition buyout of a Libyan petrochemical plant from a multinational partners and operator
• Representation of a US-based multinational seismic company on market entry and project agreements related to the provision of services to IOCs operating in the Murzuq Basin and Ghadames Basin
• Representation of a Bahrain-based, Libya-focused private equity firm in connection with a private placement for a wholly-owned drilling rig subsidiary and subsequent $43,000,000 Shari’a-compliant financing facility related to its drilling rigs in Libya.
• Representation of various multinational companies (including a major U.S. safety equipment company and U.S. seismic survey company) on a wide variety of issues related to foreign investment, including the establishment of a corporate presence in the country.
• Advising a Government entity in respect of the development of customs regulations and a value added tax regime in the United Arab Emirates.

2. Labor and Employment
